Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Camino Dawn, LLC (“Company,” “we,” “us,” or “our”), governing your access to and use of the b⁴ mobile application, website, and related services (collectively, the “Service”).

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

The Service is not available to persons who are subject to sanctions or who reside in jurisdictions where access to or use of the Service would be prohibited by applicable law. You are responsible for ensuring compliance with all local laws regarding your use of the Service.

3. Description of Service

b⁴ is an opinion market platform. Unlike prediction markets, which resolve based on real-world outcomes, opinion markets on b⁴ resolve based on crowd consensus — that is, the majority belief of market participants. Markets are created by the platform and resolve within a defined time period (typically 24 hours).

The Service operates on the Solana blockchain. Users interact with smart contracts deployed on the Solana network. Transactions are denominated in USDC (a stablecoin) and are processed on-chain.

4. Account Registration & Wallet

To use the Service, you must create an account by providing a valid email address and completing our verification process. Upon registration, a self-custodial embedded wallet is created on your behalf, secured by your device's biometric authentication (e.g., Face ID, fingerprint).

You are solely responsible for maintaining the security of your account and device. We do not have access to your private keys. If you lose access to your device or biometric credentials, we may not be able to help you recover your wallet or funds.

5. Opinion Markets — How They Work

5.1 Market Creation

Markets are created by authorized administrators. Each market poses a question and accepts YES or NO positions from participants.

5.2 Placing Positions

You may place a position (YES or NO) on any active market by transferring USDC to the market's on-chain vault. The minimum position is $1.00 USDC. Positions are final once confirmed on-chain.

5.3 Market Resolution

Markets resolve based on crowd consensus. This means the outcome is determined by the majority opinion of participants — not by whether the event described in the market question actually occurs in the real world. You acknowledge and agree that resolution is inherently subjective and based on collective belief.

5.4 Claiming Winnings

After a market resolves, participants on the winning side may claim their proportional share of the market pool. A service fee of 0.15% is deducted from each position at the time it is placed.

6. Fees

A fee of 0.15% is charged on each position placed. This fee is split between the platform treasury and the market creator. Fee structures may change with notice. Blockchain network fees (if applicable) are separate and borne by the user.

7. Risks

You acknowledge and accept the following risks:

• Financial loss. You may lose all or part of the USDC you commit to a market. Past performance does not guarantee future results.
• Blockchain risks. Transactions on the Solana blockchain are irreversible. Smart contracts may contain bugs or be subject to exploits despite auditing.
• Crowd consensus. Market outcomes depend on collective participant belief and may not reflect objective truth or factual events.
• Regulatory uncertainty. The legal status of opinion markets may vary by jurisdiction and may change over time.
• Technology failures. The Service may experience downtime, errors, or interruptions.

8. Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable law.
• Manipulate markets through coordinated trading, wash trading, or any form of market manipulation.
• Create multiple accounts to circumvent rules or gain unfair advantage.
• Interfere with or disrupt the Service, servers, or networks.
• Attempt to gain unauthorized access to any part of the Service.
• Use bots, scripts, or automated tools to interact with the Service without authorization.
• Harass, threaten, or harm other users.

9. Intellectual Property

The Service, including its design, features, content, and code, is owned by Camino Dawn, LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without prior written permission.

The b⁴ name, logo, and branding are trademarks of Camino Dawn, LLC.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAMINO DAWN, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN FEES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Camino Dawn, LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another person or entity.

13. Modifications to the Service & Terms

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time without notice. We may also update these Terms from time to time. If we make material changes, we will notify you through the Service or by other means. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) shall survive.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware. You waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Camino Dawn, LLC regarding the Service and supersede all prior agreements and understandings.
